1. Acceptance of these Terms
By accessing this website, contacting us regarding our services, or entering into a service arrangement with BOT CHAT AI APP LTD, you agree to these Terms and our Privacy Policy. If a separate written agreement is signed for a project, that agreement will control where it conflicts with these website Terms.
2. Our services
BOT CHAT AI APP LTD provides services related to the design, configuration, integration, deployment, and support of AI chat agents, conversation workflows, and live-support handoff functionality. The exact scope, deliverables, timeline, supported platforms, maintenance obligations, and commercial terms will be agreed separately for each project.
We may use third-party hosting, AI, messaging, analytics, support, and infrastructure providers when delivering the services. Availability and functionality may therefore depend in part on those providers.
3. Client responsibilities
Clients are responsible for providing accurate information, timely access, approvals, technical credentials, content, policies, and instructions required for the project. Clients must ensure that they have all necessary rights and permissions for any content, data, systems, or accounts provided to us.
Clients are also responsible for:
- reviewing and approving the assistant’s knowledge, instructions, disclosures, and escalation rules;
- ensuring their own use of the solution complies with applicable laws and platform rules;
- maintaining appropriate human oversight for important, regulated, sensitive, or high-impact decisions;
- protecting credentials and promptly reporting suspected unauthorized access; and
- not using the services for unlawful, deceptive, abusive, harmful, or rights-infringing activity.
4. AI outputs and limitations
AI-generated responses can be incomplete, inaccurate, outdated, or unsuitable for a particular situation. AI systems are probabilistic and cannot guarantee perfect answers. Clients must not rely on an AI agent as the sole source for legal, medical, financial, safety-critical, or similarly high-impact decisions.
Human handoff features are intended to provide an escalation path, but successful transfer may depend on agent availability, platform connectivity, configuration, and third-party systems. We do not guarantee that every conversation will be resolved automatically or transferred instantly.
5. Fees, payments, and changes
Project fees, recurring charges, usage-based costs, payment dates, taxes, and refund terms will be stated in the relevant proposal, invoice, order, or service agreement. Unless otherwise agreed in writing, third-party platform and usage charges are the client’s responsibility.
Changes requested after approval of a project scope may require additional time and fees. We will communicate material changes before carrying out out-of-scope work.
6. Intellectual property
Each party retains ownership of intellectual property it owned before the project. Unless otherwise stated in a written agreement, clients retain ownership of their business content, trademarks, and proprietary data, while BOT CHAT AI APP LTD retains ownership of its reusable methods, know-how, templates, tools, libraries, and general technical components.
Ownership or licensing of custom deliverables will be defined in the applicable project agreement. Third-party software, models, platforms, and materials remain subject to their own license terms.
7. Confidentiality
Each party should protect non-public business, technical, and customer information received from the other party and use it only for the intended business relationship. Confidentiality obligations do not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source.
8. Disclaimers
Except as expressly stated in a signed written agreement, the website and services are provided on an “as available” basis. To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, uninterrupted operation, and non-infringement.
We do not guarantee specific revenue, conversion, customer-service, or operational outcomes. Results depend on implementation, traffic, data quality, user behavior, third-party systems, and the client’s own operations.
9. Limitation of liability
To the maximum extent permitted by applicable law, BOT CHAT AI APP LTD will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of data, loss of goodwill, or business interruption arising from the website or services.
Where liability cannot be excluded, our aggregate liability relating to a claim will not exceed the amount paid to BOT CHAT AI APP LTD for the specific service giving rise to the claim during the three months immediately before the event giving rise to liability, unless a different limit is required by law or agreed in writing.
10. Suspension and termination
We may suspend or terminate access to a service if invoices remain unpaid, security is at risk, usage violates these Terms or applicable law, or continued operation could harm users, systems, third parties, or our reputation. Project termination rights, notice periods, data export, and transition assistance may be further defined in a separate agreement.
11. Changes to these Terms
We may update these Terms from time to time. The revised version will be posted on this page with a new “Last updated” date. Material changes will apply prospectively unless the law requires otherwise.
12. Governing law
These Terms and any non-contractual disputes or claims arising from them are governed by the laws of England and Wales, unless otherwise required by applicable law or replaced by a signed project agreement.
The courts of England and Wales will have jurisdiction over disputes relating to these Terms, unless another forum is required by law or agreed in writing between the parties.
